Position: Corporate Counsel

Description: As we continue to build our team in support of our vision to the be the world’s best and most trusted mobility company, the Corporate Legal Group is excited to announce the opening of a Corporate Counsel.

This new Corporate Counsel position will have the opportunity to provide critical support to various aspects of the business, focusing on Enterprise Mobility’s North American Rental Operations, global Environmental, Social, and Governance (ESG) and Sustainability related efforts as well as support for Supply Chain Management. 

The Corporate Counsel’s primary focus will be providing timely and competent day-to-day legal services in support of North American Rental Operations. That focus will allow for close collaboration with corporate, home city, airport rental operations teams, and directly with various operating teams in the field throughout North America. The position will, among other things, provide advice and support at the corporate and local operation level, through contract negotiation, review and drafting, regulatory review, drafting, and compliance, short and long-term legal risk assessment, meaningful partnership and collaboration with the business on strategic legal initiatives, and managing outside counsel.

Additionally, the Corporate Counsel will play an important role in helping the organization navigate the evolving global landscape of ESG and Sustainability related laws, regulations, and requirements. This role allows for the opportunity to work with subject-matter experts throughout the business and become well-versed in and provide guidance regarding a still-emerging area of the law globally.

The Corporate Counsel will also provide guidance to Supply Chain Management, which is responsible for the organization’s global procurement of goods and services, on structuring, drafting, reviewing and negotiating a wide array of procurement agreements, including master service agreements, goods purchase agreements, solicitations and other complex legal documents. 

This role will be reporting to Enterprise Mobility’s Corporate Counsel leading and managing legal teams in these areas. With the convergence of mobility solutions, the advent of internet-connected vehicles and roll-out of alternative fueled and electric vehicles, the next five (5) years holds the potential to re-write the landscape in traditional vehicle mobility. As the industry evolves, we’ll be embracing new types of business that will require lawyers who are comfortable learning and advising on new areas and coming up with creative solutions to the issues of the day. 

Responsibilities

  • Manage and assist clients with resolving all legal issues pertaining to various corporate, transactional, and regulatory matters in a manner consistent with the organization’s business philosophy and strategy, and in compliance with legal and regulatory requirements
  • Clearly communicate or present (in writing or verbally) and advise decision makers on the risks and benefits of negotiating options, contractual provisions, and taking various other actions with potential legal impact
  • Monitor and provide timely and accurate interpretations of the various laws, regulations, and judicial developments affecting the organization’s businesses to senior management and operating personnel; keep them apprised of the types of action that require legal consideration and provide internal guidance regarding potential legal risk and compliance obligations
  • Provide ongoing strategic planning, guidance and consultation regarding potential and actual disputes
  • Prepare best practices and present training to various personnel throughout the organization
  • Assume lead role in structuring, drafting, reviewing, and negotiating business-critical contracts and ensuring they properly protect the organization’s interests and objectives
  • Partner with assigned functional areas and operating units to help drive the organization’s business model and execute its strategies

Qualifications:

Minimum:

  • Must be authorized to work in the United States and not require work authorization sponsorship by our company for this position now or in the future
  • Juris doctorate from an accredited law school
  • Seven (7) or more years of relevant experience in a business law firm or in a corporate law department with a proven record of professional excellence and achievement
  • Significant research and transactional law experience, including drafting and negotiating complex contracts
  • Broad generalist skill set with the ability to independently research and analyze issues
  • Admission to at least one state Bar in the United States is required, with the ability to qualify with the Missouri state bar
  • Intermediate level of proficiency with Microsoft Office Products (i.e. Excel, Word, PowerPoint, and Outlook)

Preferred:

  • Litigation and/or litigation management experience
