Position: Corporate Counsel, Corporate & Securities
Location: Seattle, WA

Description: Amazon.com is seeking a Corporate Counsel to join a collegial and fast-moving team in a new position. As Corporate Counsel, you will work on corporate governance, SEC reporting, proxy statements and annual meetings, shareholder proposals, and other securities and corporate issues. You will work actively with internal clients in Accounting, Finance, and Tax, as well as senior executive team members. You will work directly with, and exercise judgment in advising, executives on complex matters.

The ideal candidate will have strong experience in SEC reporting, corporate governance (including Board and Committee support and Delaware corporate law), proxy statements and annual meetings, and Section 16 reporting.

We are open to hiring candidates to work out of one of the following locations:

Qualifications:

BASIC QUALIFICATIONS

  • Juris Doctor (J.D.) and membership in one state bar or equivalent
  • 5+ years of legal experience

PREFERRED QUALIFICATIONS

  • 7+ years of legal experience as a corporate attorney
  • 3+ years of experience at a law firm
  • Experience with accounting concepts and financial statements
  • Experience managing a large number and variety of mission-critical projects
  • Experience working independently and navigating ambiguous environments
  • Ability to work extended hours when necessary
  • Exceptional written and verbal communication skills
  • Experience working with paralegals, assistants, and business clients cooperatively and efficiently
  • Highest standards of ethics and professional integrity
