MCCA Conference Registration General Terms and Conditions

Agreement to these Terms and Conditions.  These terms and conditions, as may be amended by the Minority Corporate Counsel Association (“MCCA”) from time to time (the “Terms and Conditions”), apply to all MCCA sponsored and hosted programs, conferences and events that presently exist or may be developed by MCCA in the future (each an “MCCA Conference”), including without limitation, the Global TEC Forum, Creating Pathways to Diversity Conference, General Counsel Summit, and MCCA facilitated Roadshows.

I have read these Terms and Conditions carefully and by registering for an MCCA Conference, I am expressly acknowledging that I have read and understand these Terms and Conditions and I agree to be bound by them.

Payment of Registration Fees.  All registration and/or event fees must be paid in full prior to an MCCA Conference.

Attendance on Behalf of Employer.  In the event I am attending an MCCA Conference on behalf of my employer as a benefit of my employer’s membership and/or sponsorship agreement with MCCA (my “Employer’s Relationship Agreement”), I represent and warrant that I have due authorization from my employer to attend the MCCA Conference on my employer’s behalf as part of my Employer’s Relationship Agreement and will be attending the conference as an authorized agent of my employer.  I understand and acknowledge that my employer may directly submit to MCCA the names and registration materials of employees authorized to attend the MCCA Conference on my employer’s behalf.  I understand and acknowledge that in the event that the information provided by my employer to MCCA does not include my registration information, then I will be personally responsible for paying the registration fees for the MCCA Conference in full prior to being able to participate in the MCCA Conference.  I understand and acknowledge that my Employer’s Relationship Agreement may provide for certain limited benefits such as a set number of VIP tickets and that I may not be entitled to such benefits unless my employer has submitted my name and registration information to MCCA.  In the event of any conflicts, MCCA will rely upon the information submitted to MCCA by my employer’s main point of contact authorized to negotiate my Employer’s Relationship Agreement with the MCCA..

Early Bird Rates.  In order to qualify for an “early bird” rate, all registration materials, including full payment, must be received by MCCA before the established “early bird” deadline for the MCCA Conference as published by the MCCA on its website at www.mcca.com.

Registration Rates.  I acknowledge that the registration rates applicable to me will be based on my employment status as of the first date of the MCCA Conference. I agree to pay any additional registration fees that may be required as a result of (1) a change in my employment status between the date on which I register and the actual date of the MCCA Conference, or (2) an MCCA registration is transferred to me by another conference registrant in accordance to these Terms and Conditions and my employment status is different from the status of the transferring registrant.  For example, an in-house attorney that registers at a reduced in-house counsel rate who becomes a law firm attorney as of the first date of the MCCA Conference will be responsible to pay for the increased amount of registration fees.  Refunds of any registration rates as a result of employment changes that result in a reduced registration rate are not guaranteed and will be made at MCCA’s sole discretion on a case by case basis.

Substitution & Cancellations.  I may, at no extra charge, designate one substitute person (the “Substitute Registrant”) from my organization to attend the MCCA Conference for which I previously registered on my behalf so long as (1) I provide a one (1) week advance written notice prior to the first day of the MCCA Conference, (2) the Substitute Registrant agrees to abide by these Terms and Conditions.  Decisions as to whether transfers to individuals outside my organization will be made by MCCA on a case by case basis and may be subject to administration fees.

There will be no substitution, assignment, or transfer of one registration to two (2) or more people.  For purposes of clarity, one participant cannot attend the first half of an MCCA Conference and a different participant attend the second half of the MCCA Conference.

I may not purchase registrations as agent for any third party or sell or otherwise transfer my registration to others (except in accordance with these Terms and Conditions), or exploit the registration commercially or non-commercially in any way.

MCCA may, but is not required to, establish cancellation deadlines for MCCA Conferences prior to which confirmed registrations may cancel the registration by paying an administrative fee.  All such cancellations must be received by MCCA in writing.  Telephone cancellations will not be accepted.  Unless otherwise set forth on the MCCA Website, cancellations received in writing before the established cancellation deadline will be fully refunded minus a $100.00 administrative fee.  Such cancellation refunds will be processed no later than 30 days after the conclusion of the MCCA Conference.  Cancellations after the established cancellation deadline may be granted for extenuating circumstances on a case by case basis at the sole and unfettered discretion of the MCCA.  MCCA reserves the right to provide credits for any approved cancellations that are received after the established cancellation deadline.

Cancellations and requests for substitutions must be submitted to events@mcca.com.

Changes to MCCA Conferences; Cancellations/Postponements.  MCCA does not make any guarantees, representations or warranties about any of the programs offered as part of the MCCA Conference, including any program formats, program content, participants, speakers, venue, timings, or any other aspect of an MCCA Conference.  MCCA may make changes to any aspect of the foregoing at any time for any reason at its sole discretion, whether or not due to a Force Majeure Event, in each case without liability.

MCCA may at its sole discretion change the date or cancel an MCCA Conference at any time for any reason.  Where MCCA changes the date of, or cancels, an MCCA Conference for any reason except due to a Force Majeure event, MCCA shall offer the registrant the option of attending the same rearranged MCCA Conference or receive a refund of the registration fee minus a $100 administrative fee.

Force Majeure.  MCCA will not be responsible for any loss, damage, injury, claims costs or expenses of any kind whatsoever if the event is cancelled, postponed or altered due to a Force Majeure.  “Force Majeure” is defined as any unforeseen occurrence that renders performance of the event impossible, inadvisable, illegal or impracticable.  Force Majeure includes, but is not limited to: casualty, fire, explosion, flood, earthquake or other natural disasters, an act of God, governmental restrictions or regulations, war or apparent acts of war, terrorism or apparent acts of terrorism, civil disturbances or riots, strikes, curtailment, suspension or restriction on transportation facilities and means of transportation or any other emergency.

Indemnification Clause.  To the fullest extent permitted by law, I agree to protect, indemnify, defend and hold harmless MCCA, and its respective managers, partners, officers, directors, employees and agents, from and against any and all claims, losses or damages to persons or property, governmental charges or fines, penalties, and costs (including reasonable attorney’s fees) (collectively, “Claim(s)”), in any way arising out of or relating to any MCCA Conference that is the subject of this Terms and Conditions to the extent any such Claim(s) arise out of (i) my negligence, gross negligence or intentional misconduct by me or my agents, or (ii) my violation or breach of any of the provisions of these Terms and Conditions or any related act or failure to act by me, including but not limited to the obligation of compliance with applicable laws or regulations.

Insurance.  I will be responsible to arrange appropriate insurance (e.g. travel insurance) cover in connection with my attendance at the MCCA Conference.  MCCA will not be held liable for any loss, liability, or damage to personal property.

Request of Information Consent.  By registering for an MCCA Conference, I expressly consent to allow MCCA to obtain my hotel booking registration information from the conference hotel.

Conduct of Behavior.  I acknowledge and agree that MCCA may (at its sole discretion) refuse admission to, or eject from an MCCA Conference, any person (including me) in its absolute discretion, including (without limitation) any person who fails to comply with these Terms and Conditions or who in the opinion of MCCA represents a security risk, nuisance or annoyance to the running of the MCCA Conference.  I agree to comply with all reasonable instructions issued by MCCA, approved event planners, and/or the venue owners at the MCCA Conference.

To the fullest extent permitted by law, I assume full responsibility for any damage done to the premises during an MCCA Conference that is a result of my negligence or willful actions or inactions.  For purposes of clarity, MCCA shall not be responsible for damage to guest sleeping rooms or public spaces of the venue not occupied by MCCA; in those instances, the venue shall seek payment for damage from the responsible guest(s).

I agree that I will not create any unreasonable disturbance to other guests or meetings, such as excessive noise, inappropriate behaviors or any activity that generates offensive smells.  I understand and acknowledge that the venue reserves the right to remove me from the premise immediately, if I do not comply with venue’s request to reduce or eliminate any such disturbance, in which case, I will be responsible for all payments paid for my participation at the MCCA Conference and MCCA will not refund my registration fee.

Crowd Release.  MCCA plans to have photographs and video taken during MCCA Conferences and MCCA may reproduce them in MCCA educational, news or promotional materials.  Images may be used in print, electronic or other formats, including on the MCCA website.  I understand that any and all such images and/or videos will become the property of MCCA and may be displayed, distributed or used by MCCA for any purpose.  By attending an MCCA Conference and by my presence at conference venues, I expressly grant MCCA the right to use my name, image and biography for such purposes and I consent to be photographed, filmed and/or otherwise recorded.  I understand that my participation in MCCA Conferences constitutes my consent and acceptance to such photography, filming and/or recording and to any use, without compensation, in any and all media throughout the universe in perpetuity, of my appearance, voice and name for any purpose whatsoever in connection with the production of the MCCA Conference.  I understand that all photography, filming and/or recording will be done in reliance on this consent given by me by participating in the MCCA Conference.

MCCA CLE Sessions; Late Arrivals.  Attendees arriving 30 minutes past the start of the CLE session will not be given credit.  MCCA will use its commercially reasonable efforts to send CLE Certifications to you after the conclusion of an MCCA Conference with programs eligible for CLE credits.  In the event I have not received a copy of any CLE Certifications, it is my responsibility to request for CLE Certifications by emailing events@mcca.com.

Speaker Terms & Conditions.  In the event that I participate in an MCCA Conference as a speaker, I understand and acknowledge that MCCA may use my name and presentation materials for promoting attendance at the MCCA Conference and I hereby grant a perpetual worldwide royalty free license to MCCA to use any such materials in a manner that is reasonably related to the MCCA’s mission.  Presentation and papers including all associated artwork and illustrations will not be returned unless specifically requested by the author.  The presentation and papers must be objective and completely free of advertising and commercialism.  MCCA may audio and/or videotape the speaker’s session and the recording may be reproduced as part of the overall conference materials.  MCCA may reproduce copies of the speaker’s presentation (e.g. PowerPoint slides or supporting handouts) electronically as part of the overall hand-out materials during the MCCA Conference and/or after the event. Any acknowledgement regarding Copyright or support should be included at the end of the abstract/presentation, as these will be distributed to the MCCA Conference participants.

Material Submissions.  In connection with an MCCA Conference, MCCA may collect my biography, profiles, photos and other materials through its website or other tangible or intangible means.  By submitting such information to us, I expressly (1) give MCCA permission to use such materials for any purpose reasonably related to MCCA’s mission, and (2) represent and warrant that I am the owner of such materials and have the right to permit MCCA to use such material.  I also represent that any and all material submitted to MCCA will be free from defect and will not infringe any rights of other parties.

Third-Party Registration.  Registering for an MCCA Conference will require the creation of an account and/or registration through Cvent or another third-party event software provider (“Event Software Provider”).  I understand that information I provide to an Event Software Provider will be shared with MCCA, but the Event Software Provider may have its own terms and condition, terms of use and privacy policy.  MCCA is not responsible for my account with, or any information I provide to, such Event Software Provider.

Other Third-Party Sites.  MCCA’s Website may contain links to third-party websites that are not owned or controlled by us.  MCCA assumes no responsibility for the content, products, services, policies, or practices of any third-party websites.

No Third-Party Rights.  No third-party other than me shall have the right to enforce these terms and conditions against the MCCA without the prior written agreement of the MCCA.

Ownership.  Unless otherwise specified, all intellectual property rights in and to the MCCA logos, trademarks, copyrights, trade dress, trade names, photos, videos, etc. (collectively, “MCCA Materials”) is owned by MCCA.  I will not copy, modify, publish, distribute, perform, or display such MCCA Materials from MCCA’s website in whole or part in a manner inconsistent with US Copyright Laws.

No Incidental or Consequential Damages.  To the fullest extent permitted by applicable law, MCCA excludes: (a) all liability for loss, injury or damage to persons or property at the MCCA Conference; (b) all indemnities, warranties, representations, terms and conditions (whether express or implied); and (c) any actual or alleged indirect loss or consequential loss howsoever arising suffered by me or any loss of profits, anticipated profits, savings, loss of business revenue, loss of business, loss of opportunity, loss of goodwill, or any other type of economic loss (whether direct or indirect). If MCCA is liable to me for any reason, MCCA’s total liability to me in relation to the MCCA Conference (whether under these terms or conditions or otherwise) is limited to the amount of my fees received by MCCA.

Waiver and Release.  In consideration for being allowed to participate in an MCCA Conference, I release from liability and waive my right to sue MCCA, its employees, officers, volunteers and agents (collectively “MCCA Parties”) from any and all claims, including claims of the MCCA’s negligence, resulting in any physical injury, illness (including death) or economic loss I may suffer or which may result from my participation in the MCCA Conference, travel to and from the MCCA Conference (including air travel), or any events incidental to the MCCA Conference.

I have read these Terms and Conditions, and I am agreeing to it once I complete the registration for the MCCA Conference.  I understand the legal consequences of accepting the Terms and Conditions, including (a) releasing MCCA from all liability, (b) waiving my right to sue MCCA, (c) and assuming all risks of participating in the MCCA Conference, including travel to and from the MCCA Conference (including air travel) or any events incidental to the MCCA Conference.

Governing Law; Dispute Resolution.  This Agreement is governed by the law of New York State without regard to its conflict of laws provisions.  I consent to submit any dispute arising out of, or relating to, my registration of the MCCA Conference to binding arbitration in accordance with the American Arbitration Act to be decided by one arbitrator that is mutually agreed to by the MCCA and me.

Accuracy of Registration Information.  I certify that all the information provided as part of my registration materials is true, complete and correct.  I understand that a false or misleading statement or where I have failed to provide complete, accurate and truthful information in my registration materials will be grounds to deny me registration of, or withdraw me from participation in, an MCCA Conference.  In the event I misrepresent my employment status, I may be required to pay additional registration fees to accurately reflect my employment status.
