Position: Lead Sr Counsel, Investment Banking and Capital Markets

Description: As the Lead Senior Counsel for Investment Banking and Capital Markets at CBRE, you will be a key legal advisor to executive leaders and key personnel within CBRE’s investment banking and capital markets segments. Your role involves providing transactional legal support and counsel on complex, high stakes matters and global transactions that are crucial to CBRE’s strategy. You will independently represent the company, managing legal, regulatory, and transactional issues related to public offerings, private placements, and secondary market activities.

What You’ll Do:
- Provide legal advice on all aspects of transactions, including due diligence, negotiation, documentation, and regulatory compliance.
- Manage legal risks associated with the firm’s investment banking activities.
- Stay updated on legal and regulatory changes affecting the financial services industry.
- Ensure compliance with all relevant laws and regulations, including securities and antitrust laws.
- Review, negotiate, and draft NDAs, engagement letters, and transactional documents for the investment banking business in the global commercial real estate, gaming, lodging, and leisure industries.
- Support the Private Funds Group with fund placement, separate managed accounts, co-investment, and private equity vehicle structuring.
- Advise on Private Capital Advisory activities, including joint ventures, recapitalizations, secondaries, and GP continuation vehicles.
- Provide M&A Advisory services, including mergers & acquisitions, board advisory, debt advisory & restructuring, and fairness opinions.
- Support Capital Markets activities, including equity and debt capital markets, credit tenant lease financing, and mezzanine & private credit solutions.
- Advise on private placements and secondary market activities.
- Ensure regulatory compliance with securities laws and global financial regulations. Lead project teams and coordinate projects with global legal, compliance, and business colleagues.
- Identify and mitigate legal risks in investment banking and capital markets transactions.
- Draft and negotiate agreements related to financings, underwriting, and mergers & acquisitions.
- Collaborate with business leaders, compliance teams, and external counsel to execute strategic transactions.
- Coordinate compliance with legal, regulatory, and risk priorities globally.
- Provide legal counsel to executives, managers, and employees on legal aspects of the global commercial real estate, gaming, lodging, and leisure investment banking business.
- Evaluate complex commercial real estate transactions for potential securities-related risks and develop risk mitigation solutions.
- Establish budgets for internal and external resources and oversee global legal and other external resources.
- Maintain current knowledge of relevant laws.
- Conduct legal training sessions and assist in preparing training materials.
Qualifications:
What You’ll Need:
- J.D. from an ABA-accredited law school.
- Member of applicable State Bar in good standing.
- Minimum of 7-10 years of legal experience in private practice and/or in-house, preferably with a leading law firm, global investment bank, or financial services organization.
- Expertise in U.S. broker-dealer regulations, including FINRA rules, the Investment Advisers Act of 1940, and other U.S. federal securities laws.
- Ability to interact effectively with CBRE’s executives, professionals, staff, and legal colleagues globally.
- Strong analytical and quantitative skills with experience in developing strategic solutions for a regulated global investment environment.
- Ability to work independently, manage multiple tasks, and set priorities with excellent follow-up skills.
- Experience supervising outside counsel.
- Experience with commercial real estate brokerage laws and regulations is helpful.
- Additional banking or securities experience is preferred.

CBRE carefully considers multiple factors to determine compensation, including a candidate’s education, training, and experience. The minimum salary for the position is $185,000 annually and the maximum salary for the position is $245,000 annually. The compensation that is offered to a successful candidate will depend on the candidate’s skills, qualifications, and experience. Successful candidates will also be eligible for a discretionary bonus based on CBRE’s applicable benefit program.
